These terms apply to anyone using godzillamgmt.com or engaging Godzilla MGMT ("we", "us", "our") for services. By using our site or engaging us, you agree to these terms.
Our services
We provide digital marketing and web development services including:
- Search Engine Optimisation (SEO)
- Answer Engine Optimisation (AEO)
- Google Ads management
- Web design & development
- Related strategy, reporting, and consulting
The specific scope of each engagement is documented in a separate proposal or statement of work signed by both parties.
Engagement terms
Month-to-month by default. Most engagements roll on a monthly basis. Either party can end the engagement at the end of any monthly cycle with 14 days' written notice. We don't require long-term contracts.
The Launch Deal is the exception. If you opt into our Launch Deal — where we build a $1,995 Starter Site at no upfront cost — you commit to 12 months of ongoing service (SEO, AEO, Google Ads, or a combination). If you exit early, you settle the $1,995 cost of the website as a one-off invoice. No penalty fees, no compounding charges.
Payment terms
- Invoices are issued monthly in advance for retainer work, and on project milestones for fixed-scope work.
- Payment is due within 7 days of invoice date.
- We accept bank transfer and credit card (via Stripe).
- Late payments may incur a 5% surcharge after 14 days overdue. Persistent non-payment may result in paused work and removal of access to deliverables until settled.
- Ad spend (e.g. Google Ads budget) is billed directly to your account by Google — we don't mark up media spend.
Ownership of deliverables
You own everything we create for you — including website code, design files, ad creative, copy, content, and access to all accounts (Google Ads, GA4, hosting, domain, CMS). Ownership transfers immediately, not at the end of an engagement. We retain no agency-of-record control over your assets.
The only exception is third-party tools and frameworks we use (e.g. Next.js, React, open-source libraries) which remain owned by their respective creators under their existing open-source or commercial licences.
Confidentiality
We treat your business information, performance data, and any non-public material you share with us as confidential. We don't share it with third parties except where required to deliver the services (e.g. uploading creative to your Google Ads account) or where required by law.
You agree to treat our proprietary frameworks, processes, and pricing as confidential and not share them externally without our consent.
Performance & results
Digital marketing involves variables outside our control (Google algorithm changes, competitive shifts, your own conversion process, market conditions). We commit to applying our expertise diligently — but we don't guarantee specific outcomes (rankings, traffic, conversions, revenue). Any forecasts we provide are good-faith estimates based on past data, not contractual guarantees.
Hosting & ongoing services
Websites we build require managed hosting to operate. Hosting fees ($49/mo or higher for Care plans) are separate from project or retainer fees and continue for as long as your site is live. If hosting fees go unpaid beyond 60 days, the site may be taken offline. We'll provide written notice before that happens.
Termination
- By you (month-to-month engagements): 14 days' written notice before the end of any monthly cycle.
- By you (Launch Deal): any time, by settling the $1,995 website cost.
- By us: we reserve the right to end an engagement with 30 days' notice if we can't see a path to results, if there's a material breach of these terms, or if continuing the work would compromise our standards.
- On termination, we hand over all assets, access, and any remaining deliverables in progress. Outstanding invoices remain payable.
Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising from our services is limited to the fees you've paid us in the 3 months immediately preceding the claim. We aren't liable for indirect, consequential, or special damages (including lost profits, lost revenue, or lost data).
Nothing in these terms excludes rights you have under the Australian Consumer Law or equivalent non-excludable consumer protections in your jurisdiction.
Indemnity
You agree to indemnify us against any claims arising from content you provide (including IP infringement claims) or from your use of the services in breach of these terms or applicable law.
Governing law
These terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
Changes to these terms
We may update these terms from time to time. The "last updated" date at the top reflects when they last changed. Material changes affecting active clients will be communicated directly with at least 30 days' notice.
